Vidoori is seeking a strategic, commercially minded, and detail-focused Director of Contracts & Legal Strategy to lead contract management, legal risk, and strategic legal operations across the organization. This role is suited to an experienced legal and commercial professional who can provide practical advice, strengthen contracting standards, support business growth, and ensure that commercial activity is aligned with organizational objectives, regulatory requirements, and responsible business practices.

Director of Contracts & Legal Strategy – Role Overview

As Director of Contracts & Legal Strategy, you will oversee the end-to-end contracting lifecycle and provide strategic legal guidance across client engagements, supplier relationships, partnerships, and internal business operations. You will work closely with executive leadership, delivery teams, finance, procurement, security, compliance, and external legal advisers to negotiate agreements, manage legal and commercial risk, improve contracting processes, and support sustainable growth.

Key Responsibilities

  • Lead the development and execution of the organisation’s contracts and legal strategy in alignment with business objectives, growth plans, and operational priorities.

  • Own the end-to-end contract lifecycle, including drafting, review, negotiation, approval, execution, renewal, amendment, performance monitoring, and close-out.

  • Review and negotiate client agreements, statements of work, master services agreements, framework agreements, non-disclosure agreements, data processing agreements, and other commercial contracts.

  • Provide clear, practical, and commercially focused legal advice to leadership and teams across sales, delivery, procurement, finance, security, technology, and operations.

  • Identify, assess, document, and manage contractual, legal, regulatory, commercial, operational, data protection, intellectual property, and reputational risks.

  • Establish appropriate contract governance, approval thresholds, delegation controls, templates, playbooks, and escalation procedures.

  • Partner with business development and delivery teams to support bids, tenders, proposals, statements of work, pricing assumptions, and client negotiations.

  • Ensure contractual obligations, service levels, deliverables, acceptance criteria, liability provisions, payment terms, and change control arrangements are clearly defined and commercially viable.

  • Manage relationships with external solicitors, specialist advisers, clients, suppliers, partners, and other legal and commercial stakeholders.

  • Support the resolution of contractual disputes, claims, variations, service issues, payment matters, and other commercial disagreements in a timely and proportionate manner.

  • Oversee supplier and subcontractor contracting, including due diligence, risk assessment, flow-down obligations, insurance requirements, data handling, and performance terms.

  • Maintain accurate contract registers, obligation trackers, legal matter records, renewal calendars, and management reporting.

  • Monitor changes in applicable legislation, regulation, public sector requirements, procurement rules, data protection, information security, and technology-related legal developments.

  • Work with relevant teams to ensure contracts support compliance with privacy, information security, intellectual property, employment, anti-bribery, modern slavery, and other applicable requirements.

  • Develop and improve legal operations, contract management processes, templates, guidance materials, training, and knowledge-sharing practices.

  • Provide regular reporting to leadership on contract performance, legal risk, negotiations, disputes, obligations, exposures, and opportunities for improvement.

  • Promote a proactive, commercially aware, ethical, and collaborative approach to legal and contract management across the organisation.

Essential Skills and Experience

  • Significant experience in commercial contracts, in-house legal practice, contract management, legal operations, or a comparable senior legal and commercial role.

  • Experience leading complex contract negotiations involving technology, consulting, digital transformation, software, data, managed services, or professional services.

  • Strong understanding of commercial contracting principles, including liability, indemnities, warranties, intellectual property, confidentiality, data protection, payment terms, termination, service levels, and dispute resolution.

  • Demonstrable experience developing and implementing contract governance frameworks, legal processes, approval controls, and contract management standards.

  • Ability to translate complex legal and commercial issues into clear, practical advice for senior leaders and non-legal stakeholders.

  • Strong negotiation, influencing, drafting, and stakeholder management skills, with the ability to balance legal protection, commercial objectives, and client relationships.

  • Experience managing legal risk across multiple concurrent engagements, suppliers, business functions, and strategic priorities.

  • Sound understanding of data protection, information security, intellectual property, technology transactions, and regulatory compliance.

  • Excellent analytical, judgement, and problem-solving skills, with a pragmatic approach to assessing risk and recommending proportionate actions.

  • Highly organised and detail-focused, with the ability to manage deadlines, negotiations, approvals, renewals, obligations, and competing priorities.

  • Experience using contract lifecycle management, document management, collaboration, reporting, and legal research tools.

  • Strong written and verbal communication skills, including the ability to draft and explain contract terms clearly and constructively.

  • Commitment to professional integrity, confidentiality, inclusive teamwork, data privacy, information security, and continuous improvement.

Desirable Skills and Experience

  • Qualified attorney, or equivalent legal professional with relevant commercial and technology law experience.

  • Experience working in an in-house legal function within a technology, consulting, government services, or professional services organization.

  • Experience with public sector, regulated, enterprise, or framework-based contracting and associated procurement and assurance requirements.

  • Familiarity with US federal, state, or local contracting requirements, including contracting practices relevant to the DMV region.

  • Experience supporting artificial intelligence, cloud, data, software engineering, cybersecurity, or digital transformation engagements.

  • Experience managing contract lifecycle management implementation, legal operations transformation, or commercial process improvement.

  • Knowledge of recognized information security, privacy, quality, or compliance frameworks.

  • Experience managing or mentoring legal, contracts, procurement, or commercial team members.
